THESE TERMS AND CONDITIONS CONTAIN A BINDING INDIVIDUAL ARBITRATION AGREEMENT AND CLASS ACTION WAIVER THAT AFFECTS YOUR RIGHTS WITH RESPECT TO ANY DISPUTE BETWEEN YOU AND ASCENSION LLC. THESE TERMS REQUIRE THE MANDATORY ARBITRATION OF DISPUTES ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES IN CERTAIN CIRCUMSTANCES, RATHER THAN JURY TRIALS OR CLASS ACTION LAWSUITS. YOU HAVE THE RIGHT TO OPT OUT.
These Terms of Service inform you of the terms, conditions, disclaimers, notices, policies, and agreements ("Terms"), which set forth the basic rules that govern your access and use of services owned or operated by Ascension LLC (hereinafter "Ascension," "we," "us" and "our"), including website located at https://ascensionltd.com/website377090 (the "Site"), our premium 1:1 online fitness coaching programs (the "Programs"), or any services we provide through the Site (collectively, the "Services").
By accessing and using the Site, participating in the Programs, or using any products or services offered or provided through our Services, YOU ARE AFFIRMATIVELY ACKNOWLEDGING YOUR AGREEMENT TO THESE TERMS OF SERVICE, WHICH CONSTITUTE A BINDING LEGAL AGREEMENT BETWEEN YOU AND ASCENSION. YOUR CONTINUED ACCESS AND USE OF THE SERVICE ARE CONDITIONAL ON YOUR ACCEPTANCE OF AND CONTINUED COMPLIANCE WITH THE TERMS OF SERVICE SET OUT BELOW. Please read these Terms and any other agreements referenced in this document carefully. If you do not agree to be bound by these Terms, you may not use or access the Service.
1. USING OUR SERVICES
a. Representation and Age Restriction
When you use the Services, you represent that:
(1) you are at least 18 years of age and a "natural person" in your country of residence
(2) you are fully able and competent to enter into these Terms
(3) the information you submit is truthful and accurate
(4) your use of the Service does not violate any applicable laws or regulations
b. General Informational Purposes Only
Ascension provides the Services and information through membership and coaching for general informational purposes only. Contents on our Services are not intended to provide medical, legal, commercial, financial, tax or other professional advice. Use of the information on our Services is at your own risk. Any information about prior results attained by Ascension or its members and program participants is not a guarantee or warranty that a similar outcome will be achieved.
c. Program Registration
You can visit and browse the Service as a guest, but you will not be able to participate in any Ascension programs unless you are a registered client. You can apply to become a client by completing the application process on our Site. If you sign up, you agree to:
(1) Provide true, accurate, current and complete information
(2) Maintain and promptly update your information to keep it accurate
(3) Comply with these Terms and any program guidelines
2. ACCOUNT MANAGEMENT AND SECURITY
a. Program Access
To access our coaching programs, you will need to complete our application process and be accepted as a client. You must:
• Be at least 18 years old
• Provide truthful and accurate information
• Maintain current contact and payment information
• Protect the confidentiality of your account information
b. Account Responsibility
You are responsible for:
• All activities occurring under your account
• Maintaining the confidentiality of your account information
• Notifying us immediately of any unauthorized use
• Ensuring all information provided remains current and accurate
3. PROHIBITED USES
While using the Services, you are prohibited from:
a. Content and Communication
• Sending harassing, abusive, or threatening messages
• Posting false, misleading, or intentionally inflammatory content
• Impersonating another person or entity
• Sharing confidential information about other clients or programs
• Using the Services for any illegal purposes
b. Technical and Security
• Attempting to breach or bypass security measures
• Using automated systems to access our Services
• Introducing malware, viruses, or harmful code
• Interfering with the proper functioning of the Site
• Attempting to gain unauthorized access to any portion of the Services
c. Commercial and Legal
• Reselling or redistributing our program materials
• Sharing or duplicating proprietary training or nutrition plans
• Using our intellectual property without written permission
• Violating any applicable laws or regulations
4. INTELLECTUAL PROPERTY RIGHTS
a. Ownership
All content, materials, programs, methods, and intellectual property provided through our Services are owned by Ascension LLC and protected by applicable laws. This includes but is not limited to:
• Training programs and methodologies
• Nutrition plans and guidelines
• Coaching materials and resources
• Website content and design
• Brand names, logos, and trademarks
b. Licensed Use
When you purchase our Services, you receive a limited, personal, non-transferable license to:
• Access and use the purchased programs
• Download and use materials for personal use only
• Participate in coaching sessions and programs
c. Restrictions
You may not:
• Copy, modify, or distribute our materials
• Share access to your program or materials
• Create derivative works from our content
• Use our intellectual property for commercial purposes
• Record or share coaching sessions without permission
5. PAYMENT TERMS AND PROGRAM POLICIES
a. Program Investment
• Starting investment is $2,000 USD
• Payment plans available through approved financing partners
• All payments processed securely through Stripe
• Prices subject to change; confirmed rate locked at enrollment
b. Payment Obligations
• Full payment or agreed payment plan required for program access
• Payment plans require completion regardless of program usage
• Failed payments may result in program access suspension
• Additional fees may apply for late or failed payments
c. Cancellation and Refunds
• 7-day satisfaction guarantee for new clients
• 30-day written notice required for program cancellation
• No refunds for completed months/sessions
• Remaining balance prorated based on time completed
d. Program Requirements
• Regular participation in scheduled sessions
• Completion of assigned tasks and check-ins
• Adherence to program guidelines and recommendations
• Reliable internet connection for virtual coaching
6. PRIVACY AND DATA PROTECTION
a. Data Collection and Use
• We collect personal information as outlined in our Privacy Policy
• Information includes contact details, health metrics, and program progress
• Data is used to provide and improve our coaching services
• Your information is stored and processed in the UAE and other countries
b. Client Confidentiality
• We maintain strict confidentiality of client information
• Progress photos and results shared only with explicit permission
• Testimonials used only with written consent
• You agree not to share other clients' information or content
7. DISCLAIMERS AND WARRANTIES
a. Health and Fitness Disclaimer
• Results vary based on individual effort and circumstances
• We do not guarantee specific fitness or weight loss outcomes
• Consult your physician before starting any exercise program
• You are responsible for exercising within your personal limits
b. General Disclaimers
ALL SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. ASCENSION LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING:
• Fitness for a particular purpose
• Accuracy of materials or information
• Uninterrupted access to Services
• Achievement of specific results
8. LIMITATION OF LIABILITY
a. Financial Limitations
• Our maximum liability shall not exceed the amount paid for Services
• We are not liable for indirect or consequential damages
• No liability for personal injury during independent exercise
• No refunds beyond those explicitly stated in these Terms
b. Excluded Damages
WE ARE NOT LIABLE FOR:
• Lost profits or revenue
• Lost business opportunities
• Personal injury or property damage
• Data loss or security breaches
• Actions of third parties
9. DISPUTE RESOLUTION
a. Initial Resolution
• All disputes must first attempt informal resolution

• Allow 30 days for resolution before escalating
• Both parties agree to good faith negotiations
b. Governing Law
• These Terms are governed by UAE law
• Any formal proceedings shall be in the UAE
• You consent to UAE jurisdiction

c. Arbitration
• Disputes not resolved informally shall be submitted to arbitration
• Arbitration shall be conducted in the UAE
• Arbitration costs shared equally unless otherwise required by law
• Class action waiver applies to all disputes
10. GENERAL LEGAL TERMS
a. Modifications
• We may modify these Terms at any time
• Changes effective upon posting to the Site
• Continued use constitutes acceptance of changes
• Material changes notified via email
b. Termination
• We may terminate services at our discretion
